Emaar Properties Reportedly Considers USD 3.2 Billion Buyout of Emaar Development

Emaar Properties Reportedly Considers USD 3.2 Billion Buyout of Emaar Development

Dubai Financial Market-listed Emaar Properties is reportedly considering acquiring the remaining minority shares in its subsidiary Emaar Development in a potential transaction valued at up to USD 3.2 billion, approximately AED 11.75 billion. The proposed transaction could result in Emaar Development being delisted from the Dubai Financial Market, although no final decision has been announced.

According to media reports published on 3 November 2026, citing Bloomberg and people familiar with the discussions, Emaar Properties currently owns slightly more than 79% of Emaar Development. Acquiring the remaining minority shareholding would allow the parent company to assume full ownership of its residential property development subsidiary, subject to the transaction’s final structure, pricing and any required approvals.

The potential acquisition remains under consideration, with Emaar Properties reportedly seeking legal and financial advice as it evaluates strategic alternatives. A transaction announcement could be made within days, although discussions are ongoing and the company could ultimately decide not to proceed. No definitive offer price, acquisition structure or timetable has been confirmed.

Emaar Development has a market valuation exceeding USD 13 billion, making a potential acquisition of its outstanding minority shares a significant transaction for Dubai’s property sector. The estimated buyout value is based on prevailing market prices rather than a formally announced offer. Any final consideration could differ depending on the transaction structure and terms offered to minority shareholders.

The potential consolidation could provide Emaar Properties with greater control over cash flows generated by its residential development operations. Full ownership could also simplify the group’s corporate structure and provide additional flexibility in allocating capital towards international expansion, recurring-income businesses and shareholder distributions. However, financing requirements and acquisition costs would remain important considerations.

The reports follow Emaar Properties’ earlier announcement that it was evaluating proposals intended to enhance shareholder value. Potential strategic options discussed by market analysts have included acquiring the remaining stake in Emaar Development, restructuring assets within the wider group and pursuing other corporate transactions. The company’s board is reportedly expected to review proposals during the week.

Emaar Development shares rose approximately 10.67% on 3 November 2026, closing at AED 13.90 on the Dubai Financial Market, as investors reacted to speculation surrounding a possible buyout. The increase reflected heightened market interest in the subsidiary, although the share price movement does not establish whether a transaction will proceed or what consideration shareholders might receive.

Emaar Properties previously consolidated another listed subsidiary in 2021 when it acquired the remaining shares in Emaar Malls through an all-share transaction. Emaar Development, which was listed on the Dubai Financial Market in 2017, could potentially follow a similar path if a buyout is formally proposed and completed. Until an official announcement is issued, the reported acquisition and possible delisting remain unconfirmed.
