Emaar Properties Announces Proposed Cash Offer of AED 15 Per Share to Acquire Remaining Stake in Emaar Development

Emaar Properties Announces Proposed Cash Offer of AED 15 Per Share to Acquire Remaining Stake in Emaar Development

Dubai Financial Market-listed Emaar Properties announced on 4 November 2026 that it intends to make a voluntary cash offer to acquire up to 100% of the shares in Emaar Development that it does not already own. The proposed offer price has been set at AED 15 per share, subject to the required approval from Emaar Properties’ Board of Directors.

According to the official disclosure submitted to the Dubai Financial Market, the proposed acquisition covers the issued and paid-up share capital of Emaar Development not currently owned by Emaar Properties and its indirectly wholly owned subsidiary, Emirates Property Holdings Limited (EPHL). The transaction would allow Emaar Properties to acquire the remaining minority shareholding in its listed real estate development subsidiary.

The proposed AED 15 cash consideration provides a defined offer price for Emaar Development’s minority shareholders, should the transaction proceed. Based on Emaar Development’s reported closing share price of AED 13.90 on 3 November 2026, the proposed offer represents a premium of approximately 7.9%. However, the final transaction remains conditional on the necessary corporate approvals.

The announcement follows reports published on 3 November 2026 suggesting that Emaar Properties was evaluating a potential buyout of Emaar Development’s minority shareholders. Those reports estimated the transaction at approximately USD 3.2 billion, equivalent to AED 11.75 billion. The latest official disclosure confirms the company’s intention to pursue a cash offer but does not specify the aggregate transaction value or the number of shares expected to be acquired.

Emaar Development is the residential property development subsidiary of Emaar Properties and has been separately listed on the Dubai Financial Market since 2017. Its operations include developing and selling residential properties across Emaar’s master-planned communities in Dubai. Emaar Properties, meanwhile, operates a broader portfolio spanning real estate development, shopping malls, hospitality and other property-related businesses.

If completed for all outstanding minority shares, the proposed acquisition would consolidate ownership of Emaar Development under Emaar Properties and its subsidiary EPHL. Full ownership could simplify the group’s corporate structure and provide greater flexibility in managing capital allocation and future cash flows. Any subsequent changes to Emaar Development’s listing status would require separate consideration and applicable regulatory procedures.

The disclosure does not provide a timetable for launching or completing the proposed offer, details of financing arrangements, or information regarding shareholder acceptance procedures. It also does not confirm that Emaar Development will be delisted. These matters would depend on subsequent announcements, the final transaction structure and any required regulatory or shareholder approvals.

The announcement represents a significant development for both DFM-listed companies, moving the potential acquisition from market speculation to a formally disclosed corporate intention. Investors will now await further announcements regarding board approval, the formal offer process and the conditions governing the proposed AED 15-per-share cash acquisition.
