Abu Dhabi Developmental Holding Company (ADQ) has issued a compulsory acquisition, or “squeeze-out,” notice to acquire all remaining shares in AD Ports Group that it does not already own. 5532358
ADQ’s ownership in AD Ports has reached 98.93%, exceeding the 90% plus one share threshold required to proceed with the compulsory acquisition. 5532358

The compulsory acquisition is subject to an amendment to AD Ports’ Articles of Association through a special resolution. A General Assembly is expected to be convened within 45 days of the notice. 5532358
Following satisfaction of the required conditions and expiry of the 60-day challenge period, all remaining AD Ports shares will be re-registered in ADQ’s name. Settlement is expected on December 22, 2026. 5532358
Shareholders have the right to apply to the competent court within 60 days of receiving the notice to seek suspension of the process. Unless a court orders otherwise, the compulsory acquisition will proceed after the 60-day period. 5532358
