ADIB Announces Rights Issue — Subscription Opens November 10

ADIB Announces Rights Issue — Subscription Opens November 10

Abu Dhabi Islamic Bank (ADIB) has announced the launch of its rights issue, seeking to raise up to AED 1.75 billion through the issuance of up to 106.38 million new ordinary shares.

The new shares will be offered at AED 16.45 per share, representing a 28.8% discount to ADIB’s closing share price on August 24, 2026.

The rights issue was approved by shareholders at the bank’s General Assembly Meeting on October 6, 2026, following approval by its Board of Directors in August.

The capital increase is intended to support ADIB’s next phase of growth under its Vision 2035 strategy while creating long-term value for shareholders.

Under the offering, eligible shareholders will receive one subscription right for every 34.14 existing ADIB shares held, with each right allowing its holder to subscribe for one new share at AED 16.45.

To qualify for the rights issue, investors must be registered as shareholders on November 2, 2026. According to the bank, shares must be purchased on or before October 29, 2026, to allow sufficient time for settlement.

The rights will trade separately on the Abu Dhabi Securities Exchange under the symbol ADIBRI26, allowing eligible holders to sell their rights or investors to purchase additional rights during the trading period.

The announced schedule is as follows:

  • Last Date to Purchase Shares for Eligibility: October 29, 2026
  • Rights Record Date: November 2, 2026
  • Rights Trading Begins: November 4, 2026
  • Subscription Opens: November 10, 2026
  • Rights Trading Ends: November 16, 2026
  • Subscription Closes: November 24, 2026
  • Expected New Share Trading Date: December 18, 2026

ADIB clarified that subscription rights are separate securities and do not automatically represent ownership of new shares. Rights holders must exercise their rights and pay the subscription price within the designated subscription period.

Rights that are neither sold during the trading period nor exercised before the subscription deadline will expire without compensation.

The bank’s largest shareholder, Emirates International Investment Company, has confirmed its intention to fully exercise its rights and subscribe for its entire proportional allocation.

If fully subscribed, the transaction will increase ADIB’s issued share capital from AED 3.632 billion to approximately AED 3.738 billion.

The bank confirmed that the newly issued shares will carry the same rights as existing ordinary shares, including eligibility for future dividends declared after their listing.

The announced timetable remains subject to change in accordance with regulatory and market requirements.
