AD Ports Group has called a General Assembly meeting for October 28, 2026, where shareholders will vote on proposed amendments to the company’s Articles of Association.
One of the key proposals would introduce a compulsory acquisition, or “squeeze-out,” mechanism allowing a shareholder owning at least 90% plus one share of AD Ports to require minority shareholders to sell their remaining shares, subject to approval from the Capital Market Authority.
The proposed amendments are particularly relevant to Abu Dhabi Developmental Holding Company (ADQ). If ADQ becomes the sole shareholder of AD Ports, another special resolution would authorise ADQ and/or the AD Ports Board to amend or replace the company’s Articles of Association.
Crucially, the proposal would also authorise the delisting or withdrawal of AD Ports and its shares from the Abu Dhabi Securities Exchange if ADQ becomes the sole shareholder.
The General Assembly will also vote on provisions allowing a sole shareholder to issue written resolutions instead of holding General Assembly meetings and on related regulatory changes.
AD Ports’ Board approved the proposed amendments and the calling of the General Assembly through a circular resolution on September 30, 2026.
Shareholders registered as of October 27, 2026 will be entitled to vote at the meeting.
