Earnings Report

ESG EMIRATES STALLIONS GROUP

9M 26

1. Company Overview & Earnings Context

ESG Emirates Stallions Group reported a strong 9M 2026, supported by its diversified operating model across manpower & accommodation solutions, real estate & development services, landscaping & agriculture, and retail/interior decoration/manufacturing. The Group operates through more than 50 subsidiaries across over 15 countries and employs more than 20,000 people.

Management highlighted continued financial discipline, portfolio optimisation and selective investment as core priorities. Q3 was particularly notable for progress within the real-estate portfolio, including the next phase of Radisson Residences Al Reem Island and advancement of Seamont Autograph Collection Residences.

For 9M 2026, revenue reached AED 1.311 billion, while management's operational profit before tax increased to AED 291.33 million, demonstrating profit growth substantially ahead of revenue growth.

2. Financial Performance Snapshot

9M 2026 vs. 9M 2025

  • Revenue: AED 1.311 billion vs. AED 1.067 billion (+23% YoY)

  • Operational Profit Before Tax: AED 291.33 million vs. AED 208.99 million (+39%)

  • Share of Profit from Associates & Joint Ventures: AED 53.62 million vs. AED 37.99 million (+41%)

  • General & Administrative Expenses: AED 148.34 million vs. AED 112.15 million (+32%)

  • Selling & Distribution Expenses: AED 107.30 million vs. AED 85.32 million (+26%)

  • Total Equity: AED 3.289 billion vs. AED 2.921 billion at December 2025 (+13%)

Underlying-performance note: Revenue increased 23%, while operational PBT rose 39%, indicating stronger profit growth than top-line growth. The increase in associate and JV earnings was also significant, rising approximately 41%. However, operating expenses expanded materially, with G&A increasing 32% and selling and distribution expenses rising 26%.

Unlike the accompanying financial statements normally used for the full six-section analysis, this uploaded document is a management report. It does not provide detailed net profit, EPS, operating cash flow or debt figures; therefore, those figures should not be inferred from the available report.

3. Operating Performance & Major Programs

Radisson Residences Al Reem Island

Royal Development Holding launched Phase Two of Radisson Residences Al Reem Island, part of an overall AED 1.45 billion development.

Phase Two introduces a third tower comprising 437 furnished branded residences and follows the successful sell-out of the project's first phase. The development represents further expansion of ESG's branded residential offering in Abu Dhabi.

The successful sell-out of Phase One is an important indicator of demand, while the launch of another 437 residences extends the project's future development and sales pipeline.

Seamont Autograph Collection Residences

Another significant milestone was the award of an AED 790 million main works construction contract for Seamont Autograph Collection Residences.

Royal Development Holding, in partnership with SAAS Properties, awarded the contract to Fibrex LLC. The award follows completion of enabling works and moves the development into its main construction phase.

Diversified Operating Platform

ESG continues to operate across four broad verticals:

  1. Manpower & Accommodation Solutions

  2. Real Estate & Development Services

  3. Landscaping & Agriculture

  4. Retail, Interior Decoration & Manufacturing

This diversified structure reduces dependence on a single business line and provides exposure to several areas of UAE economic and infrastructure activity.

4. Key Performance Drivers

The primary positive driver was 23% revenue growth, with sales increasing by approximately AED 244 million to AED 1.311 billion. More importantly, operational PBT increased 39%, significantly faster than revenue.

Associate and JV performance was another meaningful contributor. Share of profit increased from AED 37.99 million to AED 53.62 million, an improvement of approximately AED 15.6 million or 41%.

The principal cost headwind was higher operating expenditure:

  • G&A increased by approximately AED 36.2 million, or 32%.

  • Selling and distribution expenses increased by approximately AED 22.0 million, or 26%.

Despite these increases, operational PBT growth exceeded revenue growth, suggesting that stronger contributions elsewhere in the portfolio—including associates/JVs and the broader operating businesses—more than compensated for higher overheads.

The real-estate portfolio also represents an increasingly important future performance driver. The sell-out of the first phase of Radisson Residences, subsequent launch of 437 additional residences, and transition of Seamont into main construction demonstrate continued project execution rather than merely announced development intentions.

Management nevertheless remains disciplined in its stated approach, emphasising operational performance, effective resource management and disciplined capital deployment rather than growth at any cost.

5. Balance Sheet, Backlog & Cash Flow

Balance Sheet

  • Current Assets: AED 2.541 billion vs. AED 2.036 billion (+25%)

  • Non-current Assets: AED 2.361 billion vs. AED 2.289 billion (+3%)

  • Total Assets: AED 4.902 billion vs. AED 4.324 billion (+13%)

  • Current Liabilities: AED 1.308 billion vs. AED 1.170 billion (+12%)

  • Non-current Liabilities: AED 305.90 million vs. AED 233.75 million (+31%)

  • Total Liabilities: AED 1.614 billion vs. AED 1.404 billion (+15%)

  • Total Equity: AED 3.289 billion vs. AED 2.921 billion (+13%)

The balance sheet expanded by approximately AED 578 million, or 13%, during the first nine months of 2026. Equity increased by approximately AED 368 million, broadly matching the rate of total asset growth.

Liquidity appears stronger at an aggregate level: current assets increased 25%, materially faster than the 12% increase in current liabilities. Based on management's reported figures, the current-asset/current-liability ratio improved to approximately 1.94x from 1.74x.

Non-current liabilities, however, increased 31%, considerably faster than the overall balance sheet. The management report does not provide sufficient detail to determine how much of this increase represents borrowings, leases or other long-term obligations.

Backlog / Development Pipeline

A consolidated Group backlog figure is not disclosed in the uploaded management report. Therefore, the AED 790 million Seamont construction contract should not automatically be treated as ESG's consolidated external backlog.

The more relevant disclosed development pipeline includes:

  • AED 1.45 billion Radisson Residences Al Reem Island development

  • Successful sell-out of its first phase

  • Phase Two launch including 437 additional residences

  • AED 790 million Seamont main works contract

  • Continued progression of existing development projects

Cash Flow

The management report does not disclose a cash-flow statement, operating cash flow, free cash flow, cash balance or detailed borrowings. These metrics would require the accompanying interim condensed consolidated financial statements, which management explicitly states should be read together with this report.

6. Investor Takeaway

ESG delivered a strong 9M 2026 operating performance, with revenue increasing 23% to AED 1.31 billion and operational profit before tax increasing substantially faster at 39% to AED 291.3 million. Associate and JV profits also increased by approximately 41%, while total equity reached AED 3.29 billion.

The balance sheet also shows expansion without an obvious deterioration in aggregate short-term liquidity: current assets increased 25% against a 12% rise in current liabilities. However, the 31% increase in non-current liabilities warrants monitoring once the detailed financial statements are considered.

The real-estate portfolio provides an important forward catalyst. The AED 1.45 billion Radisson Residences project, sell-out of its first phase, launch of 437 additional branded residences and progression of Seamont into its AED 790 million main-construction phase provide visible development momentum.

The principal investor monitoring points are therefore conversion of the real-estate pipeline into recognised earnings and cash flow, sustainability of 20%+ revenue growth, associate/JV contributions, G&A and selling-cost growth, and the composition of rising non-current liabilities.

Importantly, this document alone does not provide enough information to assess net profit, EPS, operating cash flow, net debt, finance costs, receivable quality or the auditor's review conclusion. Those items should be assessed from ESG's interim financial statements rather than estimated from the management presentation.

Overall, ESG's 9M 2026 management report points to strong operating momentum and continued portfolio expansion. The 39% increase in operational PBT versus 23% revenue growth is particularly positive, while the expanding real-estate development pipeline creates further growth potential. The key question for investors is whether this strong accounting and operational growth is being converted into equally strong cash generation without a disproportionate increase in leverage.
