ADNH Catering

9M 26

1. Company Overview & Earnings Context

ADNH Catering plc (“ADNHC”) is an Abu Dhabi-based food and support-services group providing catering, cleaning and related services across hospitals, oilfields, defence/military facilities, airports, educational institutions, shopping malls, palaces and other facilities. The Group operates principally in the UAE and Saudi Arabia. Average headcount increased to 19,090 employees in 9M 2026 from 18,093 at December 2025.

For the nine months ended 30 September 2026, ADNHC generated AED 1.388 billion of revenue, up 10% YoY, supported by the acquisition/consolidation of ADNH Catering KSA, new contract awards and organic growth within existing contracts.

However, profitability weakened materially. EBITDA declined 16% to AED 160 million, while net profit fell 27% to AED 90 million, reflecting severe input-cost inflation and service suspensions associated with regional geopolitical tensions, together with a difficult comparison against acquisition-related gains recorded in 2025.

The underlying comparison is particularly important: 2025 included a AED 13.2 million gain on remeasurement of the previously held KSA joint-venture interest and a AED 4.3 million bargain-purchase gain, creating approximately AED 17 million of non-recurring acquisition-related benefits.

2. Financial Performance Snapshot

  • Revenue: AED 1,387.5 Million (+9.7% YoY)

  • Direct Costs: AED 1,213.5 Million (+15.8%)

  • Gross Profit: AED 174.0 Million (-19.8%)

  • Gross Margin: ~12.5% vs. ~17.2%

  • EBITDA: AED 160 Million (-16%)

  • G&A Expenses: AED 70.5 Million (-2.8%)

  • Impairment Charge: AED 0.4 Million vs. AED 23.9 Million

  • Operating Profit: AED 103.0 Million (-25.5%)

  • Profit Before Tax: AED 99.9 Million (-26.5%)

  • Net Profit: AED 90.0 Million (-27.3%)

  • Net Profit Attributable to Parent: AED 87.3 Million vs. AED 123.6 Million

  • EPS: AED 0.0393 vs. AED 0.0558

  • Q3 2026 Revenue: AED 466.0 Million (+9.2% YoY)

  • Q3 2026 Net Profit: AED 29.6 Million (-40.9% YoY)

The core issue was margin compression rather than revenue weakness. Revenue increased by approximately AED 123 million, but direct costs rose considerably faster, increasing by approximately AED 166 million. Consequently, gross profit declined from AED 217.0 million to AED 174.0 million.

Reported profit also faced a tough comparison because 9M 2025 included the one-off KSA acquisition gains. Conversely, 2026 benefited from a major reduction in impairment charges to just AED 0.4 million from AED 23.9 million, partly cushioning the operating margin pressure.

3. Operating Performance & Major Programs

Contract momentum remained strong despite the earnings pressure.

ADNHC achieved a 98.5% contract-retention rate, exceeding management's 95% target. The Group also secured 57 new contracts representing AED 146 million of annualised revenue, providing an important source of future revenue growth.

The Group's growth strategy continues to focus on scale, retaining existing business, winning new contracts and selectively pursuing value-accretive acquisitions in sectors where management sees opportunities to increase market share.

The KSA platform has become increasingly important following the 2025 acquisition of an additional 20% interest in the former Compass Arabia Limited Company, which increased ADNHC's ownership to 50% and gave it control. The entity was consequently consolidated from 31 August 2025. In 9M 2026, the KSA subsidiary generated approximately AED 126.6 million of revenue and AED 5.6 million of profit, of which AED 2.8 million was attributable to non-controlling interests.

At the operating-segment level:

  • Catering Services Revenue: AED 941.6 Million vs. AED 791.6 Million (+18.9%)

  • Catering Gross Profit: AED 141.5 Million vs. AED 174.5 Million (-18.9%)

  • Catering PBT: AED 80.5 Million vs. AED 108.8 Million

  • Support Services Revenue: AED 446.0 Million vs. AED 473.0 Million (-5.7%)

  • Support Services Gross Profit: AED 32.5 Million vs. AED 42.4 Million (-23.4%)

  • Support Services PBT: AED 19.4 Million vs. AED 27.2 Million

Catering therefore remained the principal growth engine, but both operating segments experienced profitability pressure.

4. Key Performance Drivers

KSA consolidation, new business and organic growth drove revenue. Group revenue increased 10%, with catering revenue particularly strong as the Saudi business contributed for the full reporting period and ADNHC continued to win and retain contracts.

Geopolitical disruption was the main operating headwind. Regional developments caused severe input-cost inflation, supply-chain interruptions and temporary client service suspensions. Education and Business/Industry were identified as the most affected sectors. Despite these pressures, management reported that the overall contract base and client relationships remained stable.

Direct-cost inflation materially compressed margins. Direct costs grew 15.8%, well ahead of the 9.7% revenue increase. Gross margin therefore fell from approximately 17.2% to 12.5%. This explains why strong top-line growth did not translate into higher EBITDA or earnings.

The 2025 acquisition gains distort the YoY comparison. The prior period included a AED 13.17 million gain on the previously held KSA equity interest plus a AED 4.29 million bargain-purchase gain. Management therefore highlights roughly AED 17 million of non-recurring 2025 acquisition benefits when explaining the EBITDA and net-profit decline.

Credit impairment provided a significant offset. Provision for impairment of financial assets declined sharply to only AED 0.38 million from AED 23.88 million, supporting 2026 earnings despite weaker gross profitability.

Management assessed the geopolitical disruption as temporary and concluded, based on updated cash-flow forecasts and sensitivity analysis, that no impairment of the Group's intangible assets was required as of 30 September 2026. Management continues to evaluate pricing and cost-optimisation measures.

5. Balance Sheet, Backlog & Cash Flow

  • Total Assets: AED 1.324 Billion (+6% vs. Dec-25)

  • Total Equity: AED 543.0 Million (-12%)

  • Cash & Cash Equivalents: AED 212.9 Million vs. AED 162.3 Million

  • Trade & Other Receivables: AED 630.6 Million vs. AED 672.5 Million

  • Net Trade Receivables: AED 433.7 Million

  • Contract Assets: AED 162.1 Million vs. AED 93.6 Million

  • Operating Cash Flow: AED 188.2 Million vs. AED 54.3 Million

  • Investing Cash Flow: AED (8.0) Million

  • Financing Cash Flow: AED (129.5) Million

  • Cash Dividend Paid: AED 90.0 Million

  • Additional Dividend Approved: AED 60.0 Million

  • Bank Guarantees: AED 199.0 Million

  • Contracted Commitments: AED 25.7 Million

Liquidity and cash generation strengthened significantly. Net operating cash flow increased to AED 188.2 million from AED 54.3 million, helped by working-capital movements including a AED 30.5 million reduction in receivables and a AED 23.6 million increase in trade and other payables.

Cash and cash equivalents consequently increased 31% to AED 212.9 million, including AED 60 million of short-term deposits.

Equity declined to AED 543 million from AED 614 million, primarily because ADNHC paid AED 90 million in cash dividends and approved another AED 60 million distribution, partially offset by earnings generated during the period.

Financing cash outflow reached AED 129.5 million, mainly reflecting the AED 90 million dividend and AED 35.3 million of lease principal payments. Gross bank borrowings were broadly neutral during the period, with AED 25 million borrowed and AED 25 million repaid.

For ADNHC, traditional manufacturing-style backlog is less meaningful than its contract base and annualised new-contract value. The most relevant forward indicators are therefore the 98.5% retention rate and AED 146 million of annualised revenue from 57 new contract wins. The disclosure does not provide a single total contracted backlog/order-book figure.

6. Investor Takeaway

ADNHC's 9M 2026 results show a clear divergence between strong commercial momentum and weaker near-term profitability. Revenue increased 10% to AED 1.39 billion, contract retention remained exceptionally high at 98.5%, and the Group secured 57 new contracts worth AED 146 million in annualised revenue. The Saudi expansion is also contributing meaningfully to scale.

The principal concern is margins. Direct costs increased substantially faster than revenue as geopolitical tensions drove input-cost inflation, supply-chain disruption and client service suspensions. As a result, gross profit fell nearly 20%, EBITDA declined 16% and reported net profit declined 27%.

The headline profit comparison is somewhat harsher than the underlying trend because 2025 contained approximately AED 17 million of one-off KSA acquisition gains. Nevertheless, even adjusting for these items, the decline in gross margin demonstrates genuine operating pressure that investors should monitor closely.

Cash conversion was a major positive. Operating cash flow increased to AED 188 million and period-end cash rose to AED 213 million, supporting substantial shareholder distributions. However, the increase in contract assets from AED 93.6 million to AED 162.1 million warrants monitoring alongside receivable collection and working-capital conversion.

Key forward indicators are input-cost inflation, margin recovery and pricing actions, geopolitical conditions, contract retention, conversion of the AED 146 million new-contract wins into revenue, KSA growth, working-capital performance and further acquisition opportunities.

From an accounting perspective, management concluded that the geopolitical disruption did not require impairment of intangible assets at the reporting date. The interim financial statements were reviewed by PricewaterhouseCoopers Limited Partnership (ADGM Branch), which concluded that nothing had come to its attention indicating that the financial information was not prepared, in all material respects, in accordance with IAS 34.

Overall, ADNHC retains a strong commercial platform and contract pipeline, but restoration of margins is now the central earnings issue. Strong operating cash generation, high retention and new wins provide support, while cost inflation and geopolitical disruption remain the principal near-term risks.
