AD Ports Group has announced that ADQ has satisfied the key conditions relating to its voluntary conditional cash offer to acquire the remaining shares in the company that it does not already own.
The offer, announced in August 2026, is priced at AED 6.25 per share and covers up to 100% of AD Ports Group’s issued and paid-up share capital not already held by ADQ.
AD Ports Group said it received confirmation from ADQ that all conditions set out in the offer document have been satisfied, except for customary notifications required to be submitted to the Capital Market Authority and the Abu Dhabi Securities Exchange.
Following the satisfaction of the key conditions, settlement of the offer will take place no later than 9 October 2026.
The settlement will involve payment of the AED 6.25 per share offer price and the transfer of the acquired AD Ports Group shares to ADQ.
ADQ is a wholly owned subsidiary of L’imad Holding Company.
