Etihad Energy Holding has announced that it will increase its share capital following the conversion of a portion of its mandatory convertible bonds into shares.
The company previously received approval from the Capital Market Authority to issue AED 2.34 billion in mandatory convertible bonds in favour of Brooge Energy Limited as part of an acquisition transaction.
Etihad Energy has now received several conversion notices covering AED 225.54 million of these bonds, which will be converted into 180,433,019 shares.
The capital increase will be activated on the Dubai Financial Market after trading hours on 4 September 2026.
Following the increase, Etihad Energy Holding’s share capital will rise by 5.66%, from AED 3.19 billion to approximately AED 3.37 billion.
The 180.43 million shares resulting from the conversion will be subject to a 12-month lock-up period from the conversion date. Any shares resulting from future conversions of the mandatory convertible bonds will also be subject to the same 12-month restriction.
