ADNOC Distribution has signed a definitive agreement with Reatile Group in connection with its proposed acquisition of Shell Downstream South Africa (SDSA) from Shell South Africa Holdings.
Under the agreement, Reatile Group will acquire a minority interest in SDSA following the completion of ADNOC Distribution’s proposed acquisition of the business.
The partnership forms part of ADNOC Distribution’s commitment to South Africa’s Broad-Based Black Economic Empowerment (B-BBEE) policies. The company said the partnership will also support the country’s long-term economic priorities, including greater local participation, energy security, job creation and sustainable value creation.
The agreement follows ADNOC Distribution’s previous disclosure on 7 July 2026 regarding the proposed acquisition of SDSA. Completion of the transaction remains subject to customary regulatory approvals and the satisfaction of other conditions precedent and closing conditions.

Over the past 23 years, the group has built a portfolio of investments in the energy sector and has experience operating, managing and growing energy businesses alongside major energy companies in South Africa and globally.
The minority interest to be acquired by Reatile Group and the financial terms of the agreement were not disclosed in the announcement.
