ADQ Plans Cash Offer to Acquire Remaining AD Ports Group Shares at AED 6.25 Each

ADQ has announced its intention to make a voluntary conditional cash offer to acquire up to 100% of the shares in AD Ports Group that it does not already own. ADQ currently holds approximately 75.42% of AD Ports Group, representing 3.84 billion shares.

Under the proposed offer, eligible AD Ports Group shareholders who choose to accept would receive AED 6.25 in cash for each share. The offer price represents a 23% premium to AD Ports Group’s closing share price of AED 5.10 on August 14, 2026.

The AED 6.25 offer also represents a 25% premium to the one-month volume-weighted average price of AED 5.02 and a 31% premium to the three-month volume-weighted average price of AED 4.76. It is also 95% above the AED 3.20 subscription price ahead of AD Ports Group’s listing on ADX in February 2022.

ADQ notified the Board of Directors of AD Ports Group of its intention to make the offer on August 15. The proposed transaction remains conditional and is subject to several requirements, including regulatory and statutory approvals, satisfactory completion of due diligence, any required third-party consents and other conditions set out in the offer documentation.

The proposed acquisition is intended to support AD Ports Group’s long-term growth strategy in what ADQ describes as an increasingly capital-intensive environment. The company expects AD Ports Group’s future growth to require continued investment in infrastructure, strategic acquisitions and operational transformation initiatives.

ADQ said acquiring the remaining shares would allow AD Ports Group to pursue its long-term strategic objectives more effectively without the constraints associated with funding requirements or short-term public market return expectations. The offer is also intended to provide existing shareholders with an opportunity to realise their investment in cash at a premium to the prevailing market price.

L’imad Holding Company, which wholly owns ADQ, has confirmed that sufficient resources are available to fully fund the cash consideration payable to AD Ports Group shareholders under the terms of the offer.

AD Ports Group said the matter will be presented to its Board of Directors and that the required procedures will be followed in accordance with applicable acquisition and merger regulations. The company will announce any material developments in due course.
